Terms of Service

These Terms of Service (“Terms”) govern your use of the Kepler CRM platform and related services (“Service”) provided by Kepler CRM (“Kepler,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Kepler CRM is a cloud-based customer relationship management platform designed for service businesses. Our platform includes lead management, scheduling, invoicing, customer communications, payment processing, and business analytics tools.

2. Account Registration

To use Kepler CRM, you must create an account using Google OAuth. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send unsolicited marketing messages (spam) through our messaging features
• Store or transmit malicious code or harmful content
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to other accounts or systems
• Use the platform for any purpose other than legitimate business operations

4. Subscription and Billing

Kepler CRM offers subscription-based pricing. By subscribing, you agree to:

• Pay all fees associated with your selected plan
• Provide valid payment information through Stripe
• Accept that subscriptions auto-renew unless cancelled before the renewal date
• Understand that refunds are handled on a case-by-case basis

We reserve the right to change pricing with 30 days notice. Price changes will not affect your current billing period.

5. Your Data

You retain ownership of all data you upload or create within Kepler CRM. We do not claim ownership of your business data, customer information, or content. You grant us a limited license to use your data solely to provide and improve the Service.

You are responsible for ensuring you have the right to store and process any customer data you enter into the platform, including obtaining necessary consents for communications.

You are responsible for the lawful collection and use of the customer information you enter into the Service and for obtaining and maintaining any consents, disclosures, or opt-ins required by applicable law — including, where relevant, the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state privacy laws, and any platform-specific messaging requirements — before sending communications through the Service.

6. Intellectual Property

The Kepler CRM platform, including its design, features, code, and branding, is owned by Kepler CRM and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will provide reasonable notice for planned maintenance when possible.

8. Limitation of Liability

To the maximum extent permitted by law, Kepler CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

9. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings or by contacting support. Upon termination:

• Your access to the Service will end at the close of your current billing period
• You may request an export of your data within 30 days of cancellation
• We will delete your data within 90 days of account closure, except where retention is required by law

We may suspend or terminate your account if you violate these Terms, with notice where practicable.

10. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Kepler CRM operates, without regard to conflict of law principles.
